These Terms of Service govern the use of Unrelenting Resilience by institutions โ€” including colleges, universities, public safety organizations, and corporations โ€” that deploy the platform to a defined cohort of participants. Key points: the institution's designated administrator accepts these terms on behalf of the organization and is responsible for ensuring all participants are onboarded correctly; the platform is a mental fitness training tool and not a clinical or therapeutic service; cohort data is fully isolated and remains subject to our Privacy Policy and a separate Data Processing Agreement; the institution is responsible for ensuring its deployment complies with applicable laws in its jurisdiction; and access may be suspended or terminated if these terms are breached.

1. Definitions

In these Terms of Service, the following terms have the meanings set out below:

  • "Platform" means the Unrelenting Resilience web application, mobile application, progressive web application, and all associated features, content, and services available at unrelenting-resilience.ca.
  • "Institution" or "You" means the college, university, public safety organization, corporation, or other entity that has entered into an Enterprise Agreement with Piero Corradetti Consulting and whose authorized administrator has accepted these Terms of Service on the Institution's behalf.
  • "We," "Us," or "Our" means Piero Corradetti Consulting, operating as Unrelenting Resilience, incorporated in Ontario, Canada.
  • "Administrator" means the individual designated by the Institution to manage the Institution's enterprise account, cohort, and compliance obligations under these Terms of Service.
  • "Operative" means an individual end-user โ€” including students, employees, members, or participants โ€” enrolled in the program under the Institution's enterprise account.
  • "Cohort" means the defined group of Operatives enrolled under the Institution's enterprise account, not to exceed the Maximum Cohort Size specified in the Enterprise Agreement.
  • "Enterprise Agreement" means the commercial agreement executed between the Institution and Piero Corradetti Consulting that sets out the specific terms of the Institution's deployment, including cohort size, fees, and service levels.
  • "Master Command Dashboard" means the administrator-facing oversight interface through which the Institution's Administrator monitors cohort progress, engagement analytics, course scores, and operative activity.
  • "Curriculum Forge" means the Platform's learning management system through which structured courses and assessments are deployed to Operatives.
  • "The Eye" means the AI-powered mentor feature integrated into the Platform.
  • "Comm-Link" means the in-platform secure messaging and community communication system, isolated per cohort.
  • "Proprietary Materials" means the 8 Pillar framework, program curriculum, course content, Mission Board structure, and all associated intellectual property owned by Piero Corradetti Consulting.
  • "Data Processing Agreement" means the separate agreement governing the roles and obligations of the parties with respect to the processing of Operative personal data, which must be executed before any Operative data is collected.
  • "Cohort Data" means all data generated by or relating to the Institution's Operatives within the Platform, including engagement metrics, XP scores, course results, and reflection log content.

2. Acceptance of Terms

2.1 Authority to Accept

By accepting these Terms of Service, the Administrator represents and warrants that they have the legal authority to bind the Institution to these terms. If the Administrator does not have such authority, they must not accept these terms or access the enterprise account.

2.2 Scope of Acceptance

Acceptance of these Terms of Service constitutes the Institution's agreement to be bound by:

  • These Terms of Service โ€” Enterprise / Institutional Users
  • The Mental Health and Wellness Disclaimer
  • The Privacy Policy
  • The Cookie Policy
  • The Data Processing Agreement (executed separately before Cohort activation)
  • The Enterprise Agreement (executed separately)

(collectively, the "Legal Documents")

2.3 Updates

We may update these Terms of Service from time to time. When material changes are made, we will notify the Administrator and require re-acceptance before continued access to the enterprise account. The Administrator is responsible for communicating material changes to Operatives where required.

3. Eligibility and Account Setup

3.1 Institution Eligibility

To access the Platform as an Enterprise user, the Institution must:

  • Be a legally recognized entity in its jurisdiction of operation.
  • Have executed a valid Enterprise Agreement with Piero Corradetti Consulting.
  • Have executed the Data Processing Agreement before any Operative data is collected or processed.
  • Designate at least one Administrator who is authorized to manage the enterprise account.

3.2 Administrator Responsibilities

The Administrator is the Institution's primary point of contact and is responsible for:

  • Ensuring all Operatives are onboarded in compliance with Section 5 of these Terms of Service.
  • Managing cohort membership and ensuring the Maximum Cohort Size is not exceeded.
  • Monitoring the enterprise account and promptly reporting any compliance issues, security incidents, or concerns to Piero Corradetti Consulting.
  • Ensuring the Institution's use of the Platform complies with all applicable laws in the Institution's jurisdiction.
  • Communicating relevant policies and obligations to Operatives and any institutional staff with access to the Master Command Dashboard.

3.3 Multiple Administrators

The Institution may designate multiple Administrators subject to the limits specified in the Enterprise Agreement. Each Administrator must be individually credentialed and accepts the obligations of this Section upon first login to the enterprise account.

4. Nature of the Platform

4.1 Training, Not Therapy

Unrelenting Resilience is a mental fitness training platform. It is expressly not a mental health service, therapeutic program, medical service, clinical intervention, or regulated health service of any kind.

The Platform is designed for use by non-clinical populations as a tool for general well-being maintenance, habit formation, and mental fitness training. It is not designed or suitable as a primary or sole resource for individuals experiencing acute mental health conditions, psychiatric crises, or symptoms requiring clinical attention.

4.2 Institutional Acknowledgment

The Institution acknowledges and agrees that:

  • The Platform does not provide clinical assessment, diagnosis, treatment, or therapeutic intervention for Operatives.
  • Deployment of the Platform does not satisfy any clinical, therapeutic, or duty-of-care obligation that requires licensed professional services.
  • The Institution remains solely responsible for ensuring that Operatives who require clinical mental health support are directed to appropriate professional resources.
  • The Platform's oversight tools โ€” including the Master Command Dashboard โ€” are provided for program management purposes and do not constitute clinical monitoring or risk assessment tools.
  • The Institution must not represent or market the Platform to Operatives, staff, funders, or accreditation bodies as a clinical or therapeutic service.

4.3 Duty of Care

Where the Institution has a duty of care to its Operatives โ€” including students, employees, or public safety personnel โ€” the Platform does not discharge that duty. The Institution is responsible for maintaining appropriate complementary clinical, counselling, and crisis resources alongside the program.

5. Operative Onboarding and Consent

5.1 Mandatory Onboarding Requirements

Before any Operative accesses the Platform under the Institution's enterprise account, the Institution or Administrator must ensure that each Operative has:

  • Read and individually accepted the Individual Operative Terms of Service.
  • Read and individually accepted the Mental Health and Wellness Disclaimer.
  • Been informed in plain language that the program is a mental fitness training tool and not a therapy, counselling, or clinical service.
  • Provided any consent required by applicable law in the Institution's jurisdiction for the collection and processing of their personal data as described in the Privacy Policy.

5.2 Minors

Where the Institution's Cohort may include individuals under the age of 18, the Institution is solely responsible for:

  • Obtaining verified parental or guardian consent for each minor Operative before they access the Platform.
  • Implementing any additional safeguards required by applicable law for the processing of minors' personal data.
  • Ensuring that the program content is appropriate for the age range of the Cohort.

The Institution must notify Piero Corradetti Consulting in writing before enrolling any Operatives under the age of 18.

5.3 Ongoing Obligations

The Institution's onboarding obligations are ongoing. When new Operatives are added to the Cohort at any time during the term, the same onboarding requirements set out in Section 5.1 apply before their first access to the Platform.

6. Master Command Dashboard and Oversight Tools

6.1 Authorized Uses

The Master Command Dashboard is provided to enable the Institution to manage its Cohort and monitor program engagement. Authorized uses include:

  • Viewing cohort-level and individual Operative engagement metrics, XP progress, and course scores.
  • Monitoring completion rates, engagement drop-off, and participation trends.
  • Accessing Operative reflection logs for the purpose of program facilitation and re-engagement support.
  • Sending re-engagement communications to Operatives through the Platform's approved messaging tools.
  • Generating reports on cohort-level program outcomes for internal institutional purposes.

6.2 Prohibited Uses of Oversight Tools

The Institution and Administrator must not use the Master Command Dashboard or any oversight data to:

  • Conduct or represent as conducting clinical mental health assessments of individual Operatives.
  • Make employment, academic, disciplinary, or punitive decisions about individual Operatives based solely on their engagement data or reflection log content, without additional due process.
  • Share individual Operative data with third parties โ€” including funders, accreditation bodies, insurers, or government agencies โ€” without the Operative's explicit informed consent, except where required by applicable law.
  • Use Cohort Data for any purpose other than managing and improving the program for the benefit of the Cohort.
  • Discriminate against Operatives based on their engagement levels, pillar scores, or program participation.

6.3 Reflection Log Access

The Institution acknowledges that access to Operative reflection logs is a sensitive function. Access to reflection logs must be:

  • Limited to Administrators and authorized staff with a legitimate program facilitation purpose.
  • Used only to support re-engagement and program improvement, not for disciplinary or evaluative purposes.
  • Handled in accordance with the Data Processing Agreement and applicable privacy law.

7. Curriculum Forge and Course Deployment

7.1 Course Deployment

The Institution may deploy structured courses and assessments through the Curriculum Forge as specified in the Enterprise Agreement. All courses deployed through the Curriculum Forge must:

  • Be consistent with the 8 Pillar framework and the "training, not therapy" positioning of the program.
  • Not contain content that is clinical, therapeutic, or medical in nature beyond what is approved by Piero Corradetti Consulting.
  • Be approved by Piero Corradetti Consulting before deployment where the Institution is contributing original course content.

7.2 Custom Curriculum

Where the Enterprise Agreement includes custom curriculum development by Piero Corradetti Consulting for the Institution:

  • All custom curriculum content remains the intellectual property of Piero Corradetti Consulting unless expressly agreed otherwise in writing.
  • The Institution is granted a limited, non-exclusive, non-transferable license to deploy the custom curriculum solely through the Platform and solely for the Institution's enrolled Cohort.
  • The Institution may not reproduce, distribute, or use the custom curriculum outside of the Platform environment.

7.3 Assessment Results

Course assessment results and scores generated through the Curriculum Forge are Cohort Data and are subject to the Data Processing Agreement. The Institution may use assessment results for internal program evaluation purposes but must not use them as the sole basis for academic grading, employment decisions, or other consequential determinations about individual Operatives without additional evidence and due process.

8. The Eye โ€” AI Mentor

8.1 Institutional Disclosure Obligation

The Institution must ensure that all Operatives are informed, before their first use of The Eye, that:

  • The Eye is an artificial intelligence tool and is not a licensed mental health professional, therapist, counsellor, or medical practitioner.
  • Responses generated by The Eye are informational and educational in nature only.
  • The Eye is not a crisis resource and should not be used in place of professional mental health support.

8.2 No Clinical Use

The Institution must not represent The Eye to Operatives, staff, funders, or any other party as a clinical, therapeutic, or counselling tool. The Eye is specifically prompted to provide educational content related to the 8 Pillars of the program.

9. Cohort Isolation and Data Security

9.1 Cohort Isolation

The Platform is designed to fully isolate each Institution's Cohort. Cohort Data is not accessible to Operatives or administrators of other institutions or cohorts. The Comm-Link and community features are scoped to the Institution's Cohort only.

9.2 Security Obligations

The Institution agrees to:

  • Implement and maintain reasonable technical and organizational measures to protect access to the enterprise account and Master Command Dashboard.
  • Ensure that Administrator credentials are kept confidential and are not shared with unauthorized individuals.
  • Promptly notify Piero Corradetti Consulting in writing โ€” and in any event within 48 hours โ€” upon becoming aware of any actual or suspected unauthorized access to the enterprise account or Cohort Data.
  • Cooperate fully with Piero Corradetti Consulting in investigating and remediating any security incident.

9.3 Data Processing Agreement

The Institution must execute the Data Processing Agreement before any Operative data is collected through the Platform. The Data Processing Agreement governs the roles, obligations, and rights of the parties with respect to Operative personal data and forms part of the legal framework governing this relationship.

10. Fees and Payment

10.1 Enterprise Fees

The fees payable by the Institution are set out in the Enterprise Agreement. All fees are stated in Canadian dollars unless otherwise specified and are payable on the schedule set out in the Enterprise Agreement.

10.2 Taxes

All fees are exclusive of applicable taxes. The Institution is responsible for all applicable taxes, duties, and levies in its jurisdiction.

10.3 Late Payment

If any fee is not received by the due date, Piero Corradetti Consulting may suspend the Institution's access to the Platform until outstanding amounts are paid. Suspension does not relieve the Institution of the obligation to pay outstanding fees.

10.4 Fee Changes

Piero Corradetti Consulting may change enterprise fees upon not less than sixty (60) days' written notice before the commencement of a renewal term.

11. Intellectual Property

11.1 Platform Ownership

All Proprietary Materials, Platform Content, and intellectual property associated with Unrelenting Resilience remain the exclusive property of Piero Corradetti Consulting. These Terms of Service do not transfer any ownership interest to the Institution.

11.2 Restrictions

The Institution must not:

  • Reproduce, distribute, or use any Proprietary Materials outside of the Platform environment.
  • Modify, adapt, or create derivative works based on any Proprietary Materials.
  • Attempt to reverse engineer any aspect of the Platform or its underlying technology.
  • Use the Unrelenting Resilience name, logo, or branding in any manner that implies ownership, partnership, or endorsement beyond the Institution's status as a licensed enterprise user.

11.3 Institution's Own Materials

The Institution retains ownership of any original content it independently creates that does not incorporate or derive from the Proprietary Materials.

12. Representations and Warranties

The Institution represents and warrants that:

  • It has the full legal authority to enter into and perform its obligations under these Terms of Service and the Enterprise Agreement.
  • The Administrator has the authority to bind the Institution to these terms.
  • The Institution's deployment of the Platform will comply with all applicable laws and regulations in its jurisdiction, including applicable privacy, data protection, employment, education, and health and safety laws.
  • The Institution will not represent the Platform as a clinical or therapeutic service to Operatives, staff, funders, regulators, or accreditation bodies.
  • The Institution will maintain appropriate complementary mental health and crisis resources for its Operatives alongside the program.
  • The Institution will promptly notify Piero Corradetti Consulting of any complaint, legal claim, regulatory inquiry, or media inquiry related to the Platform or the program.

13. Disclaimers and Limitation of Liability

13.1 Platform Provided As Is

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIERO CORRADETTI CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 No Clinical Warranty

Piero Corradetti Consulting makes no warranty that the Platform will improve the mental health outcomes of any individual Operative, reduce rates of mental health conditions within the Institution's population, or satisfy any clinical or therapeutic standard.

13.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIERO CORRADETTI CONSULTING SHALL NOT BE LIABLE TO THE INSTITUTION FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE OR THE INSTITUTION'S USE OF THE PLATFORM.

Piero Corradetti Consulting's total aggregate liability to the Institution under these Terms of Service and the Enterprise Agreement shall not exceed the total fees paid by the Institution in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

The Institution agrees to defend, indemnify, and hold harmless Piero Corradetti Consulting and its officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • The Institution's deployment of the Platform to its Cohort.
  • Any misrepresentation made by the Institution or its staff about the nature of the Platform or the program.
  • The Institution's breach of these Terms of Service, the Enterprise Agreement, or the Data Processing Agreement.
  • The Institution's violation of any applicable law or the rights of any Operative or third party.
  • Any failure by the Institution to ensure adequate complementary mental health resources are available to its Operatives.
  • Any claim by an Operative arising from the Institution's administration of the program.

15. Term and Termination

15.1 Term

These Terms of Service are effective from the date of acceptance by the Administrator and continue for the term specified in the Enterprise Agreement, unless earlier terminated.

15.2 Termination for Cause

Piero Corradetti Consulting may terminate the Institution's access to the Platform immediately and without notice if:

  • The Institution breaches Section 4 (Nature of the Platform) or Section 6.2 (Prohibited Uses of Oversight Tools).
  • The Institution commits a material breach of these Terms of Service, the Enterprise Agreement, or the Data Processing Agreement that is incapable of remedy.
  • The Institution commits a breach capable of remedy and fails to remedy it within fourteen (14) days of written notice.
  • The Institution becomes insolvent or enters into any arrangement with creditors.

15.3 Termination for Convenience

Either party may terminate these Terms of Service and the Enterprise Agreement for convenience in accordance with the notice provisions of the Enterprise Agreement.

15.4 Effect of Termination

Upon termination:

  • The Institution's access to the Platform and Master Command Dashboard ceases immediately.
  • The Institution must notify its Operatives of the termination and transition their accounts as directed by Piero Corradetti Consulting.
  • All outstanding fees become immediately due and payable.
  • The Data Processing Agreement obligations with respect to the return or deletion of Cohort Data apply as set out in that agreement.
  • Sections 11 (Intellectual Property), 13 (Disclaimers and Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) survive termination.

16. General Provisions

  • Entire Agreement: These Terms of Service, together with the Enterprise Agreement, Data Processing Agreement, and all other Legal Documents, constitute the entire agreement between the parties with respect to the Institution's use of the Platform.
  • Severability: If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
  • Assignment: The Institution may not assign its rights or obligations under these Terms of Service without our prior written consent. We may assign our rights without restriction.
  • Force Majeure: Neither party shall be liable for failure or delay in performance resulting from causes beyond their reasonable control.
  • Language: These Terms of Service are written in English. The English version prevails in the event of any inconsistency with a translated version.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

17.2 Dispute Resolution

The parties agree to attempt to resolve any dispute informally within thirty (30) days of written notice. If the dispute cannot be resolved informally, either party may pursue available legal remedies.

17.3 Jurisdiction

The parties irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction located in the Province of Ontario, Canada.

  • The Institution has executed or will execute the Data Processing Agreement before activating any Operative accounts.
  • The Institution agrees to be legally bound by these Terms of Service and the Enterprise Agreement.
