1. Definitions

In these Terms of Service, the following terms have the meanings set out below:

• "Platform" means the Unrelenting Resilience web application, mobile application, progressive web application, and all associated features, content, and services available at unrelenting-resilience.ca.
• "Facilitator," "You," or "Your" means an individual or entity that has been approved by Piero Corradetti Consulting to access the Platform under an Affiliate Facilitator license and to deliver the program to a group of Operatives.
• "We," "Us," or "Our" means Piero Corradetti Consulting, operating as Unrelenting Resilience, incorporated in Ontario, Canada.
• "Operative" means an individual end-user participating in the program under your facilitation.
• "Cohort" means the defined group of Operatives assigned to your Facilitator account.
• "Facilitator Portal" means the dedicated facilitator-facing interface through which you manage your Cohort, post daily workouts, monitor engagement, and access oversight tools.
• "Facilitator License Agreement" means the separate agreement executed between you and Piero Corradetti Consulting governing the terms of your license to deliver the program. These Terms of Service are incorporated into and form part of that agreement.
• "The Eye" means the AI-powered mentor feature integrated into the Platform.
• "Comm-Link" means the in-platform secure messaging and community communication system.
• "Content" means all text, audio, video, assessments, activities, AI-generated responses, course materials, and other materials made available through the Platform.
• "Proprietary Materials" means the 8 Pillar framework, program curriculum, Mission Board structure, facilitator tools, course content, and all associated intellectual property owned by Piero Corradetti Consulting.
• "License Fee" means the periodic fee payable by you to Piero Corradetti Consulting in exchange for the right to deliver the program under these terms.

2. Acceptance of Terms

By submitting a Facilitator application, executing the Facilitator License Agreement, or accessing the Facilitator Portal in any way, you agree to be bound by:

• These Terms of Service — Affiliate Facilitators
• The Facilitator License Agreement
• The Mental Health and Wellness Disclaimer
• The Privacy Policy
• The Cookie Policy

(collectively, the "Legal Documents")

If you do not agree to all of these terms, you must not apply for or accept a Facilitator license.

We may update these Terms of Service from time to time. When material changes are made, we will notify you and require re-acceptance before your continued access to the Facilitator Portal. Continued use following re-acceptance constitutes your agreement to the updated terms.

3. Eligibility and Approval

3.1 Eligibility Requirements

To apply for an Affiliate Facilitator license, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding commercial agreement under the laws of your jurisdiction.
• Complete the Facilitator application process and be approved by Piero Corradetti Consulting in writing.
• Agree to and execute the Facilitator License Agreement prior to accessing the Facilitator Portal.

3.2 Approval Discretion

We reserve the sole and absolute discretion to approve or decline any Facilitator application without providing reasons. Approval is not guaranteed by the completion of an application.

3.3 No Exclusivity

Unless expressly agreed in writing, your Facilitator license is non-exclusive. We may approve other Facilitators in your geographic area or field without restriction.

4. Nature of the Relationship

4.1 Independent Contractor

You are an independent contractor. Nothing in these Terms of Service or the Facilitator License Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and Piero Corradetti Consulting.

You have no authority to bind Piero Corradetti Consulting to any agreement, obligation, or representation, and you must not hold yourself out as an employee, agent, or representative of Piero Corradetti Consulting.

4.2 No Exclusivity of Services

You are free to offer other services and programs that do not conflict with or misrepresent your relationship with Unrelenting Resilience. However, you must not represent any competing program as affiliated with, endorsed by, or derived from Unrelenting Resilience.

4.3 Your Obligations to Operatives

You are responsible for your relationship with your Operatives. This includes:

• Ensuring each Operative has read and accepted the Mental Health and Wellness Disclaimer and Individual Operative Terms of Service before participating.
• Managing your Cohort in a manner consistent with these Terms of Service and the Facilitator License Agreement.
• Maintaining appropriate professional conduct in all interactions with Operatives through the Platform.

5. License Grant and Restrictions

5.1 License Grant

Subject to your compliance with these Terms of Service and the Facilitator License Agreement, and subject to payment of all applicable License Fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Facilitator Portal to manage your Cohort.
• Deliver the Unrelenting Resilience program to your approved Cohort using the Platform's tools and Content.
• Use the Proprietary Materials solely as provided through the Platform for the purpose of facilitating the program with your Cohort.

5.2 Restrictions

You must not, under any circumstances:

• Sublicense, resell, transfer, or assign your Facilitator license or any rights under it to any other person or entity without our prior written consent.
• White-label, rebrand, or represent the Unrelenting Resilience program or Proprietary Materials as your own original creation.
• Modify, adapt, translate, reverse engineer, or create derivative works based on any Proprietary Materials or Platform Content.
• Reproduce or distribute any Proprietary Materials outside of the Platform environment without our prior written consent.
• Use your access to the Facilitator Portal or the Platform to develop a competing product or service.
• Share your Facilitator Portal login credentials with any person who has not been approved by us as a co-facilitator for your account.
• Grant Operatives access to any Platform features beyond those authorized under your license tier.
• Use the Platform to deliver programming that is not consistent with the 8 Pillar framework as defined by Piero Corradetti Consulting.

6. The "Training, Not Therapy" Obligation

This section sets out obligations that are fundamental to your Facilitator license and non-negotiable. Breach of any obligation in this section constitutes grounds for immediate license revocation.

You must not, at any time:

• Represent or market the Unrelenting Resilience program as a clinical mental health service, therapeutic program, counselling service, psychological intervention, or substitute for professional mental health care.
• Provide clinical advice, psychological assessment, diagnosis, or therapeutic recommendations to Operatives through the Platform or in connection with your delivery of the program.
• Use the Facilitator Portal's oversight tools — including engagement analytics, reflection log access, or progress monitoring — to conduct or represent yourself as conducting clinical assessments of Operatives.
• Encourage Operatives to use the Platform or The Eye as a substitute for professional mental health support.

You must, at all times:

• Clearly communicate to prospective and current Operatives that the program is a mental fitness training tool and not a therapy or clinical service.
• Ensure that any promotional, marketing, or descriptive materials you produce in connection with the program are consistent with the "training, not therapy" positioning.
• Have referral protocols in place to direct Operatives to qualified professional support if mental health concerns arise during the program.
• Display or distribute the Mental Health and Wellness Disclaimer to all Operatives before they begin the program.

7. Facilitator Portal and Oversight Tools

7.1 Authorized Use

The Facilitator Portal is provided to enable you to manage your Cohort effectively. Authorized uses include:

• Posting daily workouts and program activities.
• Monitoring individual and cohort-level engagement and progress data.
• Reviewing Operative reflection logs for the purpose of program facilitation and re-engagement.
• Sending one-click re-engagement nudges to Operatives through the Platform's approved messaging tools.
• Communicating with Operatives through the Comm-Link system.

7.2 Prohibited Uses of Oversight Tools

You must not use the Facilitator Portal or any oversight data to:

• Conduct or represent as conducting clinical risk assessments of Operatives.
• Share individual Operative data with any third party without the Operative's explicit consent and without our authorization.
• Monitor Operatives in a manner that exceeds the scope of program facilitation.
• Discriminate against, disadvantage, or take punitive action against any Operative based on their engagement data or reflection log content.

7.3 Data Handling

All Operative data you access through the Facilitator Portal remains the property of the respective Operative and is subject to our Privacy Policy. You are a data processor with respect to Operative personal data. You must:

• Handle all Operative data in accordance with our Privacy Policy and applicable privacy law (PIPEDA, GDPR, CCPA as applicable).
• Not retain, copy, or store Operative personal data outside of the Platform environment.
• Notify us immediately if you become aware of any unauthorized access to or disclosure of Operative data.

8. License Fees and Payment

8.1 License Fees

You agree to pay the License Fees as set out in the Facilitator License Agreement. License Fees are payable on the schedule described in that agreement and are non-refundable except as expressly stated.

8.2 Late Payment

We reserve the right to suspend your access to the Facilitator Portal if License Fees are not paid within the period specified in the Facilitator License Agreement. Suspension does not relieve you of the obligation to pay outstanding fees.

8.3 Fee Changes

We may change License Fees upon reasonable written notice. Continued use of the Facilitator Portal following the effective date of a fee change constitutes your acceptance of the new fees.

9. Intellectual Property

9.1 Ownership

All Proprietary Materials, Platform Content, and intellectual property associated with Unrelenting Resilience remain the exclusive property of Piero Corradetti Consulting. Your license grants you no ownership interest in any Proprietary Materials.

9.2 Proprietary Identifiers

The following names, terms, and identifiers are proprietary to Piero Corradetti Consulting and may only be used by you in connection with the authorized delivery of the program:

• Unrelenting Resilience™
• The Eye™
• Comm-Link™
• Mission Board™
• Operative™
• The Reversibility Principle™
• Facilitator Portal™

You must not use these identifiers in any way that implies ownership, endorsement beyond your role as a licensed Facilitator, or affiliation beyond what is expressly authorized.

9.3 Your Materials

You retain ownership of any original content you independently create in connection with your facilitation practice, provided that such content does not incorporate, reproduce, or derive from any Proprietary Materials without our written consent.

10. Marketing and Promotion

10.1 Authorized Promotion

You may promote your facilitation services and your use of the Unrelenting Resilience program, subject to the following requirements:

• All promotional materials must be consistent with the "training, not therapy" positioning.
• You must not make any claims about the program's outcomes that exceed those set out in Piero Corradetti Consulting's published materials.
• You must not use the Unrelenting Resilience name or any proprietary identifier in any domain name, social media handle, or business name without our prior written consent.
• You must identify yourself as an "Affiliate Facilitator" and not imply that you are an employee, partner, or representative of Piero Corradetti Consulting.

10.2 Approval of Materials

We reserve the right to request copies of your promotional materials and to require changes to any materials that we determine are inconsistent with the program's positioning or these Terms of Service.

11. Representations and Warranties

You represent and warrant to Piero Corradetti Consulting that:

• You have the full legal right, power, and authority to enter into and perform your obligations under these Terms of Service and the Facilitator License Agreement.
• Your facilitation of the program will comply with all applicable laws and regulations in your jurisdiction, including any laws governing wellness, fitness, coaching, or related services.
• You do not hold yourself out as a licensed mental health professional in connection with your delivery of the Unrelenting Resilience program unless you are in fact a licensed professional and have disclosed this clearly to Operatives.
• You will maintain any professional licences, certifications, or insurance that may be required by applicable law in connection with your facilitation activities.
• You will promptly notify us of any complaint, legal claim, or regulatory inquiry related to your delivery of the program.

12. Disclaimers and Limitation of Liability

12.1 Platform Provided As Is

The Platform and Facilitator Portal are provided on an "as is" and "as available" basis. We make no warranty that the Platform will be available without interruption or error, or that the Proprietary Materials will produce any specific outcome for your Operatives.

12.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIERO CORRADETTI CONSULTING SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE, THE FACILITATOR LICENSE AGREEMENT, OR YOUR USE OF THE PLATFORM.

Our total aggregate liability to you shall not exceed the total License Fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

12.3 Your Liability to Operatives

You are solely responsible for your relationship with your Operatives and for any claims arising from your facilitation of the program. Piero Corradetti Consulting accepts no liability for any harm to Operatives arising from your acts or omissions as a Facilitator.

13. Indemnification

You agree to defend, indemnify, and hold harmless Piero Corradetti Consulting and its officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your delivery of the program to Operatives.
• Any misrepresentation you make to Operatives or third parties about the nature of the program.
• Your breach of these Terms of Service or the Facilitator License Agreement.
• Your violation of any applicable law or the rights of any third party.
• Any claim by an Operative arising from your facilitation activities.

14. Term, Suspension, and Termination

14.1 Term

Your Facilitator license commences on the date of approval confirmed in writing by Piero Corradetti Consulting and continues for the term specified in the Facilitator License Agreement, subject to earlier termination as set out below.

14.2 Suspension

We may suspend your access to the Facilitator Portal immediately and without notice if:

• You breach any obligation in Section 6 (Training, Not Therapy) of these Terms of Service.
• You fail to pay License Fees when due.
• We have reasonable grounds to believe your facilitation activities pose a risk to Operatives or to Piero Corradetti Consulting.

14.3 Termination for Cause

We may terminate your Facilitator license immediately and without notice if:

• You commit a material breach of these Terms of Service or the Facilitator License Agreement that is incapable of remedy.
• You commit a breach that is capable of remedy and fail to remedy it within fourteen (14) days of written notice from us.
• You become insolvent, bankrupt, or enter into any arrangement with creditors.
• We determine, in our sole discretion, that your continued facilitation poses a reputational, legal, or operational risk to Piero Corradetti Consulting.

14.4 Termination by You

You may terminate your Facilitator license by providing written notice to us in accordance with the notice period specified in the Facilitator License Agreement.

14.5 Effect of Termination

Upon termination:

• Your access to the Facilitator Portal ceases immediately.
• You must immediately cease all use of Proprietary Materials and any use of the Unrelenting Resilience name and identifiers in connection with your facilitation activities.
• You must notify your Operatives of the termination and assist in their transition to another Facilitator or to individual access where appropriate.
• Outstanding License Fees remain payable.
• Provisions of these Terms of Service that by their nature survive termination — including Sections 9 (Intellectual Property), 12 (Disclaimers and Limitation of Liability), 13 (Indemnification), and 16 (Governing Law) — shall survive.

15. Confidentiality

You acknowledge that in the course of your role as a Facilitator you may have access to confidential information relating to the Proprietary Materials, platform architecture, business operations, and other non-public information of Piero Corradetti Consulting. You agree to:

• Keep all such information strictly confidential.
• Not disclose confidential information to any third party without our prior written consent.
• Use confidential information solely for the purpose of delivering the program under these Terms of Service.
• Return or destroy confidential information upon termination of your license.

This confidentiality obligation survives termination of your Facilitator license for a period of three (3) years.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

16.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms of Service or the Facilitator License Agreement, you agree to first contact us and attempt to resolve the dispute informally within thirty (30) days. If the dispute cannot be resolved informally, either party may pursue the remedies available under applicable law.

16.3 Jurisdiction

You agree that any legal proceedings arising out of these Terms of Service shall be brought exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada.

17. General Provisions

• Entire Agreement: These Terms of Service, together with the Facilitator License Agreement and all other Legal Documents, constitute the entire agreement between you and Piero Corradetti Consulting with respect to your role as a Facilitator.
• Severability: If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your Facilitator license or any rights under these Terms of Service without our prior written consent. We may assign our rights and obligations without restriction.
• Amendment: We may amend these Terms of Service at any time upon written notice. Continued use of the Facilitator Portal after the effective date of any amendment constitutes acceptance.
• Force Majeure: Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control.
• Language: These Terms of Service are written in English. The English version prevails in the event of any inconsistency with a translated version.

• You have read and accepted the Mental Health and Wellness Disclaimer, Privacy Policy, and Cookie Policy.
• You understand and accept the obligations set out in Section 6 (Training, Not Therapy) and acknowledge that breach of those obligations may result in immediate license revocation.
• You agree to be legally bound by these Terms of Service and the Facilitator License Agreement.
